Terms and conditions of sale

1. Purpose

1.1 These General Terms and Conditions of Sale (GTCS) define the rights and obligations of the parties within the framework of the services provided by Elise Leclef, operating under the name "Les Clefs d'Elise", a natural person company located at 60 rue Maes, 1050 Ixelles (Belgium).

1.2 The services concerned include the sale of canvases, the creation of murals on site, and the organization of introductory painting workshops for small groups.

1.3 The GCS apply to all contractual relations between the Service Provider and its Customers, whether private individuals or professionals. They prevail over any contradictory document, unless otherwise agreed in writing.

1.4 Any order or commitment to provide a service implies the Customer's full acceptance of these General Terms and Conditions. The latter are available on request and, where applicable, appended to the contract or quotation.

1.5 In the event of an exhibition in an external gallery, the general terms and conditions of this gallery will prevail for any sale or transaction carried out in this context.

2. Orders

2.1 Orders must be placed in writing (e-mail, online form, or any other agreed medium) or validated online, according to the terms and conditions specific to each type of service.

2.2 The Service Provider will exhibit and sell his paintings on canvas also in a commercial space accessible by appointment or during defined opening hours. The paintings exhibited will be offered for sale and must be purchased on the spot.

2.3 For murals and custom orders, the Service Provider will draw up a detailed quotation free of charge. It is valid for 30 days. The order is considered firm after written acceptance of the quotation by the Customer by e-mail and payment of a deposit corresponding to 50% of the total amount.

2.4 Orders for completed canvases are confirmed after payment in full or, if agreed in advance, after payment of the first instalment in the case of payment by instalments.

2.5 Reservations for workshops are validated after full payment via an online platform or by email to love@lesclefsdelise.com.

2.6 The Service Provider reserves the right to refuse any order in the event of force majeure, technical or material impossibility, or failure by the Customer to cooperate.

3. Services

3.1 The Service Provider offers the sale of handmade canvases, available in a gallery or at exhibitions. Prices vary according to the work and are fixed at the time of sale. Works sold cannot be returned or exchanged.

3.2 On-site murals are created according to a personalized project agreed with the customer. The estimate includes the necessary technical and logistical specifications, as well as the Customer's responsibilities (choice of location, wall preparation, access, etc.).

3.3 Introductory painting workshops are organized in small groups (maximum 8 people). Reservations are made online and are subject to the specific cancellation and refund conditions set out in these GTC.

3.4 Canvas delivery can be arranged by agreement between the parties. Delivery costs are calculated according to the specific conditions (distance, packaging, etc.) and are borne by the customer. The customer assumes all risks associated with transport.

3.5 No preliminary sketches are required for custom orders, including frescoes and canvases. The Service Provider has complete artistic freedom in the execution of these works, unless specific instructions are agreed in the quotation.

3.6 Turnaround times are given as an indication only. Delays due to unforeseeable circumstances, additional requests from the customer or force majeure cannot give rise to penalties or cancellations.

4. Prices and payment terms

4.1 Prices for services are quoted in euros, inclusive of all taxes, unless otherwise stated. Prices are those in force on the date of the order and specified in the quotation or order confirmation.

4.2 Payment for paintings must be made in full at the time of purchase. In exceptional cases, payment by instalments may be accepted, subject to written agreement between the Supplier and the Customer.

4.3 For murals and personalized orders, a deposit of 50% of the total amount is required upon validation of the order. The balance is payable on delivery. For long-term projects, interim payments may be requested as work progresses.

4.4 Unless otherwise specified, the Customer is responsible for the cost of delivery. The terms and associated costs are communicated at the time the order is placed.

4.5 Payment for workshops must be made in full when booking online or on site on the day of the workshop.

4.6 For business customers: Any invoice not paid on its due date will be subject to interest of 12% per annum, calculated from the due date, without prior notice. A fixed indemnity of 40 euros for collection costs will also be applied, in accordance with the law of August 2, 2002. For consumer (private) customers: In the event of non-payment after a reminder that has remained without effect for 14 calendar days :

- Interest on arrears, based on the prime rate plus 8%, is charged from the day after the reminder is sent.

- A fixed indemnity is payable :

o 20 euros for an amount due ≤ 150 euros.

o 30 euros + 10% of the amount between 150.01 and 500 euros for an amount due between 150.01 and 500 euros.

o 65 euros + 5% of the amount > 500 euros (maximum 2,000 euros) for an amount due > 500 euros.

4.7 In the absence of payment within the period agreed on the invoice (10 days) or between the parties, the Service Provider reserves the right to suspend or cancel the service, without prejudice to any other action.

5. Delivery and performance

5.1 Canvas delivery can be arranged by prior agreement between the Service Provider and the Customer. Delivery costs, including packaging and transport, are borne by the Customer, unless otherwise specified in the contract or quotation. The Customer assumes the risks associated with transport as soon as the work leaves the Service Provider's premises.

5.2 For wall frescoes, the Customer must guarantee that the wall intended to house the fresco is in good condition, free from moisture, structural defects, or any other element that may compromise the execution or durability of the work. The Customer is also responsible for access to the site and compliance with safety standards. The Service Provider declines all responsibility for any future deterioration due to environmental or structural conditions.

5.3 The lead times communicated are given for information only and may be extended in the event of technical constraints, specific customer requests or exceptional circumstances. Delays cannot justify cancellation of an order or a claim for damages, unless expressly agreed by the parties.

6. Cancellations and refunds

6.1 Workshops may be cancelled by the customer up to 48 hours before the scheduled date. In this case, a full refund will be made. After this time, no refund will be given, except in exceptional circumstances to be assessed by the Service Provider.

6.2 For murals and custom orders, any cancellation by the Customer must be notified in writing. If the cancellation occurs before the start of the work, the deposit will be retained by the Service Provider. If cancellation occurs after work has begun, the Service Provider will invoice the services already rendered, the materials used and an indemnity corresponding to 20% of the total amount of the order.

6.3 The Service Provider may unilaterally terminate an order in the event of a serious breach by the Customer, such as non-payment, impossible access to the site or lack of cooperation. In this case, any sums already paid shall be retained by the Service Provider, without prejudice to any additional costs incurred.

6.4 Works sold, whether canvases or frescoes, cannot be returned or exchanged. Any refunds for other services or delivery charges must be requested in writing and will be examined on a case-by-case basis by the Service Provider.

6.5 In accordance with the Code of Economic Law, the consumer (private customer) has a period of 14 calendar days to exercise his right of withdrawal without justification. However, the consumer acknowledges that this right does not apply to:

1. Customized or made-to-measure orders, such as murals or specially commissioned canvases.

2. Services that have been fully executed before the end of the withdrawal period, at the express request of the consumer. By validating an order or reservation, the consumer agrees to waive his/her right of withdrawal in these cases.

7. Intellectual property

7.1 The Customer acquires material ownership of the works ordered or purchased, but the Service Provider retains all rights to them.

in accordance with current legislation. These rights include in particular the right of reproduction, distribution and communication to the public.

7.2 The Service Provider reserves the right to use photos or videos of the works produced for promotional or publication purposes, including when they are installed on the Customer's site, unless the Customer expressly objects in writing before the work is produced.

7.3 The Customer agrees not to reproduce, distribute or exploit the work without the prior written consent of the Service Provider. Any unauthorized use may give rise to legal proceedings.

8. Limitation of liability

8.1 The Service Provider accepts no responsibility for damage to frescoes or canvases resulting from external factors such as humidity, sun exposure, climatic variations or inadequate maintenance.

8.2 As the works are unique artistic creations, the Service Provider does not guarantee that they will correspond to the Customer's specific tastes or expectations. No recourse or claim for compensation will be accepted on grounds relating to the aesthetics or creativity of the work.

8.3 The Service Provider is not liable for any structural defects in the wall or supports supplied by the Customer, nor for any consequences arising from such defects.

8.4 For canvases sold, the legal warranties against hidden defects or lack of conformity apply, in accordance with Belgian law. The customer must report any defects within a reasonable time of their discovery, failing which his rights will lapse.

8.5 Murals do not benefit from any legal warranty due to their specific nature and their dependence on the state of the premises provided by the Customer.

9. Subcontracting

9.1 The Service Provider may use subcontractors for all or part of the services, in particular for transport, installation or surface preparation.

9.2 The Service Provider guarantees that subcontractors comply with the same legal and contractual obligations, in particular with regard to confidentiality and quality of services.

9.3 The use of a subcontractor does not alter the Service Provider's contractual obligations towards the Customer, who remains the sole responsible party.

10. Protection of personal data

10.1 The Service Provider collects and processes the Customer's personal data for the purposes of managing orders, payments and service-related communications.

10.2 The Customer has the right to access, rectify, delete and object to its data, which it may exercise by contacting the Service Provider by email or post.

10.3 Personal data is kept only for as long as is necessary for the performance of services or to meet legal obligations. After this period, it is deleted or made anonymous.

11. Applicable law and settlement of disputes

11.1 These GTC are governed by Belgian law.

11.2 In the event of a dispute, the parties will endeavour to resolve the matter amicably. If no solution is found, the competent courts of Brussels shall have sole jurisdiction.

12. Final provisions

12.1 The Service Provider reserves the right to modify these GTC at any time. The new conditions will come into force as soon as they are published or communicated to the Customer.

12.2 If any provision of these GTC is declared invalid or unenforceable, the remaining provisions shall remain valid and fully enforceable.
